PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS AND THE FAQ BEFORE REGISTERING FOR THE POSITION OF FREELANCE WRITER. PARTICIPATION IN THE SERVICE INDICATES THAT YOU ACCEPT THE TERMS AND CONDITIONS OF THE FREELANCE WRITER AGREEMENT AND THE FAQ. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS OR THE FAQ, PLEASE DO NOT REGISTER FOR THIS SERVICE.
The Agreement ("Agreement") between You (the "Freelance Writer”, or “Writer”) and Writers United, LLC. dba Writers United (the "Company") consists of this Freelance Writer Agreement and the Frequently Asked Questions ("FAQ").
Writer is an Independent Contractor engaged in an independent business and is not an employee, agent, partner or joint venture of or with the Company. The Writer shall not hold himself/herself out to the public as an employee, agent, or partner of or with the Company. The Company is engaged in the business of electronic commerce and is not an employer, partner or joint venture of or with the Writer.
The parties expressly agree and acknowledge that the relationship created by this Agreement is one of Independent Contractor. Writers United is not the employer of the Writer. The Writer agrees to be treated as an Independent Contractor for all employment purposes. Therefore, no payroll deductions for employment taxes or insurance of any kind shall be paid by the Company for or on Writer's behalf. Payroll deductions, employment taxes and insurance that are subject to this paragraph include but are not limited to FICA, federal, state, and local income tax withholding; state disability insurance; state unemployment insurance; and workers compensation insurance.
This Agreement will begin on the date set forth below and shall continue until terminated as provided herein by either party. If either party violates a term of this Agreement, then the other party (the "Non-breaching Party") may terminate this Agreement, effective immediately upon delivery of written notice of termination by the Non-breaching Party. Not withstanding the foregoing, either party may terminate this Agreement at any time for any or no reason, effective upon three (3) days written notice.
Services to be Provided by Writer
Writer is obliged to work only on those Projects he/she agree to engage in, the Company is in no position to demand Writer's engagement in any Project that they have no expertise or possibility to do.
Once Writer engages with the Project, they agree to submit it to the Company in a form of written work in Microsoft Word format acceptable to the Company as outlined in the online training materials provided, and in full correspondence with requirements set by the Company (“order details”), within time limits provided by the Company. The manner and method of producing Projects is solely at the discretion of Writer as long as they comply with Company requirements.
Obligations and Warranties of Writer
By submitting the Project (Work) to the Company, Writer represents and warrants that the Work (or any part of it):
- Is plagiarism-free and original (is not owned by any third party fully or partially and does not contain any previously produced text, “copy-pasting”),
- contains full and absolutely correct references to third-party authors
- contains quotations of texts by third-party authors that are no longer than one (1) sentence or fifteen (15) words per each quote, and not exceeding 15% of the total Project text, with obligatory indication of page or paragraph of cited source
- complies with all requirements provided by the Company (formatting style is considered a requirement)
- has not been obtained by unlawful means,
- has not been previously published in any manner or medium, specifically including but not limited to, print or electronic means.
- is delivered by the time set by the Company
Failure of any Project provided by the Writer to meet above criteria leads to fines and refusal in compensation (see Fines section) or immediate cancellation of this Agreement.
The Writer acknowledges and agrees that if they fail to adequately complete the Project by the due date the Company has the sole right to cancel this Agreement. If the Writer fails to meet the Project deadline, they must contact the Company to request deadline extension at least 24 hours prior to the due date. Extension is not guaranteed and can be granted in exceptional cases only.
The Project must conform to general readability standards as determined by the Company. The Writer acknowledges and represents that if the Project fails to conform to the general readability standards, the Company has the sole right to request immediate revision of Project, deny payment, and/or cancel this Agreement.
If the Project is deemed inappropriate by the Company at the time of submission or publication, either for content or other reasons, the Company has the sole right to request immediate revision of Project, deny payment, and/or cancel this Agreement.
The Company will ensure timely and effective communication of additional Project materials and/or updates to the Writer. These additional materials and updates, when delivered within reasonable time, constitute part of Project requirements, and must be adhered to for the Project to be approved by the Company.
The Writer acknowledges and agrees that while working on the Project, they must be reachable by the Company within defined by the Writer hours. If the Writer fails to send Project drafts or respond to Company communications within more than 24 hours or other time if agreed with the Company, the Company has the sole right to cancel the Project irrespective of amount of work done.
Writer will, upon the Company's request, execute, acknowledge, and deliver to the Company any and all documents, including draft of Project in progress, that the Company may deem necessary to evidence and effectuate all or any of the Company's rights under this Agreement.
Each Project will be submitted individually by the Writer to the Company by using the submission form.
The Writer will check each Project for compliance to Recommended Paper Assessment Criteria provided by the Company, prior to submission to the Company.
The Writer will check each Project for accuracy of the information presented prior to submission to the Company.
The compensation for completed Projects will be paid via payment system of Writer's choice restricted by the List of Acceptable Payment Processing Systems provided by the Company, in US dollars and provisions for payment thereof shall be as set forth twice a month, on the 10th and 25th days of each month for all Work submitted and approved by the Company according to the following scheme:
- On 10th day of the month: for all approved Projects submitted on 16-31st day of previous month
- On 25th day of the month: for all approved Projects submitted on 1-15th day of current month
If the 10st or the 25th occurs on a Saturday or Sunday, payment will be made the following business day.
Under no circumstances will Writer be paid on an hourly, daily or other basis that is a function of time.
Writer acknowledges and agrees that the Company will only pay the Writer for the Work that is resold and the Company has the sole and exclusive authority to determine whether or not to resell any and all Works submitted by Writer.
The cost of the Project is set in Project details and covers, besides the number of pages of full text requested in details, title page, table of contents, bibliography pages, and preliminary drafts of the Project if requested by the Company.
The Company has a right to offer, on its sole discretion, extra-benefits to Writers having excellent record with the Company.
Fines and Refusal in Renumeration
TWO SITUATIONS WILL IMMEDIATELY LEAD TO TERMINATION OF WRITER’S ACCOUNT AND DENY IN REMUNERATION FOR ALL DUE PROJECTS:
1. Use of paper written for Writers United for your personal purposes, such as reselling it, sending as a sample to other companies, posting online, or resubmission it to other client as custom written paper.
2. Submitting to Writers United a paper that was previously written for another client or posted online as your own paper, irrespective of how long ago it was.
When the Poject fails to comply with order requirements, originality standards or general readability standards, the Writer will revise the Project free of charge within 24 hours or other timeline only when agreed with the Company, until it fully meets Project requirements. The Company is entitled to ask for as many revisions as it deems necessary to receive quality Project.
If the Writer fails to deliver the Project on designated time without previous confirmation with the Company, or delivers the Project that does not meet Project requirements, originality standards and/or general readability standards set by the Company, the Company has sole right to deny compensation for the Project.
The Writer agrees that if the Project submitted by the Writer contains over 10% of plagiarized text (copy-pasted material), the Company has sole right to deny remuneration for the Project and/or effectuate immediate cancellation of this Agreement.
The Writer agrees that if the Project submitted by the Writer contains over 25% of plagiarized text (copy-pasted material), the Company has sole right to deny remuneration for the Project and additionally, apply a fine of 50% (but no less than $50) of Project cost, and/or effectuate immediate cancellation of this Agreement.
The Writer agrees that if the Project submitted by the Writer contains over 50% of plagiarized text (copy-pasted material), the Company has sole right to deny remuneration for the Project and effectuate immediate cancellation of this Agreement withholding all pending funds due to the Writer.
The Writer acknowledges and agrees that submission of Project six (6) hours past due deadline without previous agreement with the Company, qualifies for fine of 10% of the total Project cost. For each further delay of three (3) hours, additional 5% will be subtracted by the Company from the total Project cost. In case of emergency, applications for deadline extension can be sent no later than 16 hours prior to Project deadline.
The Company will provide the Writer functionality for permanent reporting of all services displayed through computer-assisted media.
The Writer hereby acknowledges and agrees that all of the results and proceeds of every kind of the services heretofore and hereafter rendered by the Writer for the Company, including, but not limited to, essay, analysis, review, report, dissertation, outline, annotated bibliography, memorandum, Microsoft PowerPoint presentation, Microsoft Excel spreadsheet, and other Projects (collectively the "Work"), are and shall be assigned to the Company. The Company shall exclusively own in perpetuity all now known or hereafter existing rights of every nature worldwide pertaining to such Work in or as part of any version of the Company's publications that are published in print or displayed through computer-assisted and other interactive media such as the Internet and World Wide Web (collectively the "Rights"). Writer hereby irrevocably grants and assigns to the Company all Rights for the Work free from any restrictions and limitations.
